This Terms of Use is a legally binding agreement made by and between A Slippery Slope, LLC (the “Company”) and its affiliates, and you, personally (collectively, “you”, “your”, “yours”).  The Terms of Use governs your access to and use of this website, “professionalismproject.com” (the “Website”), the “Medical Professionalism Project” offered on the Website (the “Course”), and the overall services, materials, surveys, exercises and games offered on the Website and through the Course (collectively, the “Services”), so please read them carefully.  This Terms of Use will apply to all visitors, users, and others who access the Website and take the Course and/or use the Services (“Users”). Your use of the Website in any manner constitutes your acceptance of these terms and conditions and your agreement to be bound by them.

The Website and Course are comprised of various web pages (collectively the “Pages”) that the Company created, maintains and supports as a part of its on-going business activities. These Pages include information, videos, surveys, exercises, games and links (the “Links”) to certain additional products and services offered by the Company and/or third parties, related to medical professionalism. The use of the Website and Course and all of these Pages and Links is subject to the terms and conditions contained in this Terms of Use.

 

By accessing or using any part of the Website, the Course, or the Pages and Links therein, you agree that you have read, understand and agree to be bound by this Terms of Use.  You are additionally required to follow the separately posted Privacy Policy, which is incorporated by reference into this Terms of Use.   If you do not agree to be bound by the Terms of Use and/or the additional Privacy Policy, do not access or use the Website and leave the Website immediately.

 

A Slippery Slope, LLC reserves the right to make changes to this Terms of Use at any time.  Your continued use of this Website confirms assent to any new or modified provisions of this Terms of Use that may be posted.  There will be an indication of the top of this page as to the date the Terms of Use was last revised.

By accessing the Website, the Course and using the Services therein, you agree to the following terms:

 

Account Registration

You must register an account with the Medical Professionalism Project (“the Course”) to access the Course and all of the related Services. Registration requires you to provide your name, email address, place of work, and other information specified in the registration form (“Registration Information”), and to select a username and password that will be associated with your account. You agree that your Registration Information is true, accurate, current, and complete, and you will promptly update your Registration Information as necessary so that it continues to be true, accurate, current, and complete. We may attempt to verify the accuracy of the Registration Information that you have provided and update it as necessary. You are solely responsible for maintaining the confidentiality and security of your Course account username and password and you may not permit another person to use your username and password to access the Services.  You agree to notify A Slippery Slope, LLC of any unauthorized use of your username and password or any other breach of security.  You are responsible for all activity that occurs under your account. We shall have no liability for any unauthorized access to or use of your Registration Information, username, and/or password.  And you acknowledge and agree that Company may suspend or terminate your account and/or access to the Course at any time, with or without cause, for any reason or no reason at all.

 

Use of the Services

The Services provided via this Website are intended for physicians, nurses, medical trainees and other healthcare professionals. By using the Services, you represent and warrant that you have the right, authority, and capacity to agree to and abide by these Terms of Use and that you are not prohibited from using the Services or any portion thereof. Your use of the Services will be deemed to be a representation that you are 18 years of age or older and otherwise are an entity that can form legally binding contracts under applicable law.

The information and tools that the Company makes available through the Services are provided for educational and informational purposes only. While the Company hopes you find the Services useful to you as a healthcare professional, they are in no way intended to serve as a diagnostic service or platform, to provide certainty with respect to a diagnosis, to offer medical advice, recommend a particular product or therapy or to otherwise substitute for the clinical judgment of a qualified healthcare professional.  You are solely responsible for evaluating the information obtained from the Services and for your use or misuse of such information in connection with your treatment decisions or otherwise.

Subject to your compliance with and understanding of these Terms of Use, you are hereby granted a limited, revocable, non-exclusive right to use the Services and the content and materials on the Website in the normal course of your use of the Website, solely for your personal and professional use. You shall not use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services, the Website, the Course and its content, the Pages and Links, the (Dis)Honesty Project website, the Duke Clinical Research Institute website, the Trent Center for Bioethics, Humanities, and History of Medicine, and/or the Center for Advanced Hindsight website, except as expressly permitted in these Terms of Use.  All rights not expressly granted herein are reserved to the Company and its affiliates as applicable.

 

Content

All materials on the Website including those found in the Course are owned by Slippery Slope, LLC, its licensors and other entities. Unauthorized use of such materials is strictly prohibited.  The trademarks, service marks and logos (including, but not limited to, the name “The Medical Professionalism Project”) used and displayed on the Website belong to A Slippery Slope, LLC or others.  Nothing on this Website grants, or implies the grant of, a license or right to use any item displayed on the Website without the express written consent of the Company.  You shall abide by all additional copyright notices, information or restrictions contained in any content accessed through the Website.

 

Third-Party Information

The Course contains links to third-party websites and resources. You agree that Company is not responsible or liable for these websites and/or resources, and the information contained therein.  Company does not review all third-party sites, nor does it control or assume responsibility for the content, terms of use or privacy policies of any of these sites.  If you decide to access a third-party site linked to the Website, you do so at your own risk.  Further, you may not use any third party intellectual property without the express written permission of the applicable third party, except as permitted by law.  The inclusion in the Course of third-party resources does not imply Company’s endorsement of these resources.

 

Refund Policy

Due to the nature of the product, its audio/video format and educational content, no refunds for the Course are permitted. You are permitted, however, to use the Course at any time after purchase.  If the Course is purchased in bulk, at the group or institutional rate, an unused Course (with none of the modules begun) can be assigned to a different member of the group/institution after contacting Company and re-establishing account Registration Information, including modified username and password.  Once a module has been utilized, however, the Course is considered in-use and it can no longer be assigned.

 

Electronic Communication

By using the Website and registering for the Course, you are communicating with Company electronically and you consent to receive electronic communications from Company.

 

Disclaimer

You acknowledge and agree that the Services and all content in the Website and Course is provided on an “as is” basis without warranties of any kind, either express or implied.  You further acknowledge that the Company and its affiliates or their respective members, officers, directors, employees or agents (collectively, the “Company Parties”) do not represent or warrant that services will operate on an uninterrupted or error-free basis, that defects will be corrected, or that services or the server that makes such services available are free of viruses or other harmful components.  You also acknowledge by your use of Services that your use is at your sole risk and that none of the Company Parties shall be liable for any damages of any kind related to your use of Services.

 

Indemnification

You agree to indemnify, defend and hold Company and Company affiliates and Company Parties harmless from any liability, loss, damages, costs, claim and expense, including attorneys’ fees, arising from or related to your violation or alleged violation of this Agreement or use of the Website and/or Course.

 

Limitation of Liability

Under no circumstances, including but not limited to negligence, shall Company be liable for any special or consequential damages that result from the use of, or inability to use, the content on the Website, even if Company has been advised of the possibility of such damages.  And in no event, shall Company’s total liability to you for damages, losses, and causes of action exceed the amount paid by you for accessing the Course.

 

Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York.  You agree that regardless of any law of statue to the contrary, any claim or cause of action arising out of or relating to the Website or the Terms of Use must be filed within one (1) year of the date the cause of action arose, or be barred as untimely.
